Company: CYBERWIX LLC ("Cyberwix," "we," "our," or "us")

This Terms of Service Agreement ("Agreement") governs your use of the website located at https://cyberwix.com, as well as any products, services, and communication tools offered by Cyberwix (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree with any part of these terms, you may not use the Services.

1. Use of Services

Cyberwix offers website development, AI automation, digital marketing, and SMS communication services. You agree to use these Services only for lawful purposes and in accordance with this Agreement and all applicable laws and regulations.

You must be at least 18 years old or have express legal parental/guardian consent to use our Services.

2. Account Registration

You may be required to create an account or provide contact information to access certain features. You agree to provide accurate, current, and complete information and to keep this information updated. You are responsible for safeguarding your login credentials.

3. A2P 10DLC SMS Messaging Compliance

Cyberwix provides SMS messaging services in compliance with A2P 10DLC (Application-to-Person 10-Digit Long Code) messaging standards, required by U.S. mobile carriers.

a. Consent Requirements

You must obtain express opt-in consent from all recipients before sending SMS messages using Cyberwix platform. Acceptable opt-in methods include:

Web form opt-in with checkbox

Keyword-based SMS campaigns (e.g., “Text JOIN”)

In-person or written signups

You are solely responsible for retaining proof of user consent.

b. Content and Opt-Out Compliance

All SMS messages must include:

Business or sender name

A way to unsubscribe (e.g., “Reply STOP to opt out”)

Prohibited content includes:

SHAFT (Sex, Hate, Alcohol, Firearms, Tobacco/Vape)

Fraudulent or misleading claims

Unapproved link shorteners

You must immediately cease sending messages to any recipient who opts out.

c. Data Handling

We store mobile numbers and related message activity securely and do not sell or rent SMS data. Data is used strictly for the purposes for which consent was given.

d. Fees and Penalties

You are responsible for:

A2P 10DLC registration fees

Message delivery and usage fees

Fines imposed by carriers for non-compliant activity

Cyberwix reserves the right to suspend or terminate your SMS campaign for any violation of A2P 10DLC standards.

4. Payments and Refunds

All fees are outlined in your individual agreement or invoice. Payments are due as specified. Late or non-payment may result in suspended services.

Due to the customized nature of our services, all sales are final. Refunds are issued only at our sole discretion.

5. Prohibited Conduct

You agree not to:

Use the Services for spam, fraud, or illegal activity

Violate third-party rights (e.g., intellectual property, privacy)

Circumvent or interfere with security measures

Abuse our infrastructure or messaging tools

We reserve the right to terminate your access without notice for violations.

6. Intellectual Property

All Cyberwix content and software, including logos, designs, code, and campaigns, remain the property of Cyberwix LLC unless otherwise agreed in writing. You may not reproduce or redistribute any part of the Services without permission.

7. Privacy Policy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your data. This includes your rights under data protection laws and specific policies around SMS communications and tracking technologies.

8. Limitation of Liability

To the fullest extent permitted by law, Cyberwix shall not be liable for:

Loss of data or business interruption

SMS delivery failures due to carrier filtering or delays

Indirect, incidental, or consequential damages

You agree to indemnify and hold Cyberwix harmless from any claims, liabilities, or losses resulting from your use of our Services or violations of this Agreement.

9. Termination

We reserve the right to terminate or suspend your access to the Services at any time, with or without cause or notice, especially in the case of:

Non-compliance with this Agreement

Legal or regulatory violations

Abuse of SMS or digital platforms

Termination does not release you from financial obligations or indemnity clauses in this Agreement.

10. Modifications

We may update these Terms from time to time to reflect legal, regulatory, or operational changes. We will post the updated version with a new "Effective Date" on this page. Your continued use of the Services after updates constitutes acceptance.

11. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of Los Angeles County, California.
